What is a SAFE?
A Simple Agreement for Future Equity is a Y Combinator-standard investment document. It's not debt. You're investing in exchange for the right to receive equity in a future priced round, at the lower of the valuation cap or a discount to that round's price.
When will I receive equity?
Your SAFE converts to equity during our next priced equity round (Series A or later). Until then, you hold a contractual right to future shares, not actual stock.
What is the minimum investment?
$100,000. This allows us to maintain a manageable cap table while still welcoming individual investors alongside institutional partners.
How do I send funds?
After you sign the SAFE, Mercury provides unique wire details generated specifically for your investment. Funds are sent directly to Planet 5 Holdings, Inc. ACH is also available.
Can entities invest?
Yes. We accept investments from LLCs, corporations, trusts, and other legal entities. Just select "Entity" in the form and provide the authorized signer information.
What updates will I receive?
Quarterly investor updates covering revenue, key metrics, partner progress, and strategic developments. You'll also receive advance notice of future fundraising rounds.
